End User License Agreement | Effective Date: August 6, 2026
This End User License Agreement ("Agreement") governs access to and use of the CSC Financial Data Import Tool (the "Tool"), an internal reporting utility operated and licensed by Corrective Enterprises, Inc. ("Corrective Enterprises," "we," "us," or "our"). By accessing or using the Tool, an authorized user agrees to this Agreement.
The Tool retrieves approved aggregate financial reports from authorized QuickBooks Online companies for internal management reporting, reconciliation, closed-month validation, and dashboard preparation. It is not intended to create, edit, delete, approve, or post accounting transactions.
The Tool is for internal business use by Corrective Enterprises, its approved affiliated entities, and administrative users specifically authorized by CSC leadership. It is not offered to the public or licensed for unrelated third-party use.
Subject to this Agreement, Corrective Enterprises grants each authorized user a limited, revocable, non-exclusive, non-transferable license to use the Tool solely for approved CSC business purposes and only with QuickBooks Online companies the user is authorized to access.
No ownership rights are transferred. Corrective Enterprises retains all rights in the Tool, its configuration, workflows, documentation, and related materials, except for third-party services and materials owned by their respective providers.
Authorized users may use the Tool only within its approved read-only reporting workflow. Users must not:
The Tool requests the QuickBooks Online Accounting scope because that is the scope Intuit makes available for accounting reports. Corrective Enterprises restricts its implementation to approved GET-only retrieval of aggregate reports and necessary company-identification information. OAuth POST requests are limited to the token exchange and refresh operations required by Intuit.
Authorization is company-specific. An authorized QuickBooks Online administrator may revoke the Tool's access through the affected company's QuickBooks Online app connection settings.
Users must protect credentials, authorization codes, client secrets, access tokens, and refresh tokens. These items may be stored only in approved encrypted storage or an approved production secret manager. They must not be placed in source code, email, chat, spreadsheets, cloud documents, screenshots, logs, or plaintext files.
Users must promptly report suspected credential exposure, unauthorized access, incorrect company connections, unexpected data, or unexpected Tool behavior to Dr.Rick@FLSpinalCare.com.
The Tool supports internal reporting and reconciliation. It does not provide accounting, tax, legal, investment, or other professional advice. Reports and dashboard outputs may be incomplete, delayed, or affected by QuickBooks configuration, account mapping, report definitions, source-data quality, or third-party availability.
All financial statements, reconciliations, decisions, and dashboard outputs remain subject to review and approval by authorized CSC leadership and qualified financial professionals. Users must not rely on the Tool as the sole basis for filing, payment, compliance, lending, tax, payroll, or material business decisions.
The Tool interoperates with QuickBooks Online and Intuit services. Those services are governed by Intuit's terms and privacy practices. Corrective Enterprises does not control and is not responsible for Intuit service availability, changes, errors, or security. Intuit and QuickBooks are trademarks of Intuit Inc. The Tool is an internal CSC utility and is not endorsed or sponsored by Intuit.
Corrective Enterprises may suspend or revoke access at any time, with or without notice, including for security, compliance, operational, employment, authorization, or business reasons. Upon suspension or termination, the user must stop using the Tool and return or securely delete Tool materials and data as directed, subject to applicable financial-record retention requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOOL IS PROVIDED "AS IS" AND "AS AVAILABLE." CORRECTIVE ENTERPRISES DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORRECTIVE ENTERPRISES AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE TOOL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited.
Corrective Enterprises may update the Tool or this Agreement to address operational, security, legal, regulatory, or Intuit requirements. The updated effective date will be posted with the Agreement. Continued use after an update constitutes acceptance of the revised Agreement to the extent permitted by law.
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any provision found unenforceable will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
This Agreement, together with applicable CSC policies and Intuit terms, constitutes the agreement governing use of the Tool. Questions about the Tool or this Agreement may be directed to Corrective Enterprises, Inc. at Dr.Rick@FLSpinalCare.com.
